Purchase and Sale Terms and Conditions

These Purchase and Sale Terms and Conditions (these “Purchase Terms”) apply to any order you place through or on any of the following websites or mobile applications:

For purposes of these Purchase Terms, the websites and mobile application are referred to as our “online store”.


By placing an order on our online store, you agree to these Purchase Terms, along with our Terms of Use (“Terms of Use”), the FAQs, and shipping and returns information, each of which is available on our website, including through links or information made available near the bottom of our website pages. Please review these materials before placing your order.


Please note that we may update or modify these Purchase Terms from time to time, so remember to check back in before you place an order, as the latest version will apply.


For international consumers, international orders, or purchases from our international online stores, certain terms of these Purchase Terms may be modified or supplemented by the “International Purchase and Sale Terms and Conditions Addendum” section below. Please review that section for important information.


WHO YOU ARE BUYING FROM


When you purchase products on our online store, the seller of those products is e.l.f. Cosmetics, Inc. for orders shipped to the United States and e.l.f. Beauty UK Ltd. for international orders, except as noted below.


For some international orders, one of our service providers may act as the seller of record. This means you are purchasing directly from that provider, not us. If this applies, we will let you know. In those instances, the purchase and sale terms of that provider will control and/or supplement these Purchase Terms.


Please see the “International Purchase and Sale Terms and Conditions Addendum” section below for more information on international orders or purchases from our international online stores.


ORDERS


By selecting the applicable order, purchase, buy now, or similar button, you are submitting an offer to purchase the products in your order and agree that these Purchase Terms apply to your purchase.


Adding items to your cart and checking out does not mean we’ve accepted your order. We will email you an order confirmation (with an order number) as soon as possible to acknowledge that we have received and are processing your order. If you need to contact us about your order, please provide us with your order number so we can more quickly find your order.


We accept your order when we ship your products and send you a shipping confirmation email. Until your order ships, we may decline or cancel any portion of your order for any reason, including:

  • a product is out of stock;
  • there is a pricing or description error;
  • we are unable to meet a delivery deadline;
  • there are unexpected limits on our resources which we could not reasonably plan for; or
  • legal or regulatory issues prevent fulfillment.

If we are unable to or decide not to accept all or a portion of your order, we will inform you and will not charge you for the unaccepted portion of the order. If you have already paid by the time we cancel an order, we will issue you a refund.


Please note that once an order has been placed, it cannot be canceled or modified (including the shipping address). Please be sure to check your order before it is placed to make sure it is completely accurate, including your shipping address.


PRICE, TAXES, AND PAYMENT


Pricing and Currency


The price of any product will be the price indicated on the order page of our online store. Please note that changing the country of delivery may affect the price due to a change in currency or to country-specific pricing.


Our online store may allow you to see prices in the currency for your country of delivery. If our online store has that feature, if you change the country of delivery while browsing or during checkout, prices from that moment may be quoted in a different currency.


Taxes and Duties


Taxes and duties are calculated at checkout and depend on where your order ships. We charge sales tax on all orders shipping to the United States (except for orders shipping to states that do not have a sales tax).

Pricing Errors


We take reasonable care to ensure that the price of the product advised to you is correct. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We use reasonable efforts to check prices before accepting your order. If we discover a pricing error before we ship your order:

  • If the correct price is lower, we’ll charge the lower price.
  • If the correct price is higher, we’ll contact you before we accept your order and charge you the higher price.
  • If a pricing mistake is obvious, we may cancel your order, refund you, and require you to return the applicable products.


Payment and Title


Payment options vary by country. See the available payment methods when you check out.


We retain title in any product you have ordered until we have received full payment for the product, meaning we own the product. Once we receive full payment, title transfers to you and you own the product.


SHIPPING AND RISK OF LOSS


Shipping costs will be calculated at checkout and depend on where your order ships. Delivery times will depend on the delivery address. Please visit the FAQs and the shipping sections of our websites for more details on our shipping fees and estimated delivery time frames.


The items purchased from our online store are shipped by a third-party shipping carrier. When you place an order, you agree that we will arrange the shipment of your order for you using the delivery service or carrier you selected at checkout.


Once your order is handed to the carrier, responsibility for the package passes to you. This means we’re not responsible for lost or stolen packages after shipment, and delivery issues should be addressed directly with the carrier.


If delivery is delayed by an event outside our control, then we will contact you as soon as possible to let you know, and we will take reasonable steps to minimize the effect of the delay. We will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to cancel your order and receive a refund for any products you have paid for but have not yet received.


RETURNS AND EXCHANGES


Returns and exchanges are subject to eligibility requirements and time limits. Please review the FAQs and the shipping sections of our websites before placing your order.


AVAILABILITY OF PRODUCTS/DESCRIPTION AND IMAGES OF PRODUCTS


All products on our online store are subject to availability. We reserve the right to change the products offered via our online store at any time and without notice. Our online store may contain information about the availability of products at the time of ordering, but the quantity of inventory that is actually available can change and without notice. We are not liable if products are not in stock or otherwise not available.


The images of the products on our online store are for illustrative purposes only. Although we make the effort to display the colors accurately, we cannot guarantee that a device's display of the colors accurately reflects the color of the products. Your product may vary slightly from those images. The packaging of the product may also vary from that shown on images on our online store. Minor variations in the delivered products or packaging will not be considered defects.

PROMOTIONS


Promotions are subject to limits and may not always be available. In general:

  • promotions only available/valid while supplies last or during certain periods;
  • promotions are not valid for bulk orders or for gift card purchases;
  • only one code may be used per order;
  • free or discounted shipping and handling offers may only be valid for orders within certain countries;
  • codes cannot be sold, made available to the general public (unless we expressly allow it), transferred, or exchanged for cash; and
  • promotions and codes may only be used in a lawful manner and may only be used for the intended audience and purpose.

Additional terms may apply to certain promotions, discounts, offers, or other special programs. These additional terms may be provided at the time of the offer or made available on our website. Please review any applicable terms before participating in a promotion or redeeming an offer.


PERSONAL USE ONLY


Our products (including any samples we may provide to you) are for personal, non-commercial use only. Buying products on our online store to resell is not allowed. If we believe an order is intended for resale or suspect that you are engaging in commercial reseller activity, we may cancel or limit your orders or withhold refunds.


MISCELLANEOUS


These Purchase Terms are between you and us. No other person shall have any rights to enforce any the Purchase Terms.


These Purchase Terms are hereby incorporated into the Terms of Use, including the Arbitration Agreement and Class Action Waiver set forth in the Terms of Use.


In the event of any conflict between these Purchase Terms and the Terms of Use, the Terms of Use shall control.


If a court, arbitrator, or other authority finds that any part of these Purchase Terms is unlawful, the rest will still apply. Each section of these Purchase Terms stands on its own, so removing one part does not affect the others.

INTERNATIONAL PURCHASE AND SALE TERMS AND CONDITIONS ADDENDUM

INTERNATIONAL ORDERS


We contract with US Direct E-Commerce Limited (trading as eShopWorld) to sell and deliver our products purchased on our US online store to consumers in certain countries (other than the UK and EU). The contract for the purchase, sale and delivery of our products will be between you and eShopWorld, and subject to the eShopWorld Terms and Conditions (located here). If there is a conflict between these Purchase Terms the eShopWorld Terms and Conditions, the eShopWorld Terms and Conditions will control with respect to your purchase and the delivery of our products.

UK ONLINE STORE


If you are a consumer resident in the United Kingdom and you purchase goods or products on www.elfcosmetics.co.uk or our mobile applications available in the UK (our “UK online store”), the provisions in this section apply to you and prevail to the extent of any inconsistency with the Purchase Terms or in the Terms of Use. In particular, any reference in the Terms of Use to arbitration agreements or class action waivers does not apply to you.


Consumer Protection Laws


Nothing in these Purchase Terms limits or excludes your statutory rights under applicable UK consumer protection laws, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. 


Summary of Your Key Legal Rights

Your product is a good, for example cosmetics, so the Consumer Rights Act 2015 applies. The Consumer Rights Act 2015 says goods must be as described, fit for purpose and of satisfactory quality. During the expected life of your product your legal rights entitle you to the following:

  • up to 30 days: if your item is faulty, then you can get a refund.
  • up to six months: if your faulty item can't be repaired or replaced, then you're entitled to a full refund, in most cases.
  • up to six years: if the item can be expected to last up to six years you may be entitled to some of your money back.

Your Rights to Cancel Your Order


To exercise your right to cancel, you must inform us of your decision by sending us a message through our “Contact Us” form here or by emailing us at elfcare.uk@elfcosmetics.com. Please include your name and address, order number, details of the products, and your email address.


If you have purchased a product that is faulty or misdescribed, you have a legal right to end the contract, get the product repaired or replaces or get some or all of your money back. Please see the “Summary of Your Key Legal Rights” section.


You also have the legal right to cancel your order (or part of it) within 14 days without giving any reason. The cancellation period will expire 14 calendar days after:

  • the day on which you (or a third party nominated by you, other than the carrier) receive the products; or
  • if your order consists of multiple products delivered on different days, the day on which you (or your nominated recipient) receive the last product.

You do not have the right to cancel in respect of products that are sealed for health protection or hygiene purposes once those products have been unsealed after delivery.


If you cancel after products have been dispatched or delivered, you must send the products back to us no later than 14 days from the day on which you notify us of cancellation. Products should be returned securely, preferably in the original packaging where possible. We recommend using a tracked and insured delivery service, as you are responsible for the products until we receive them. We will provide you with the return address, which may be located in the United States. Further details about returns are available on our Shipping & Returns page. This does not affect your statutory rights in relation to faulty or misdescribed products.


You are responsible for the direct cost of returning the products unless:

  • the products are faulty or not as described; or
  • you are cancelling because we have informed you of:
  • an upcoming change to a product in your order or these Purchase Terms;
  • an error in pricing or description;
  • a delivery delay caused by events outside our control; or
  • any other issue that gives you a legal right to cancel due to our breach.

We will refund all payments received from you for the cancelled products, including the cost of standard delivery. However, if you selected a delivery method more expensive than our least costly standard option, we will only refund the cost of standard delivery.


If you cancel because you changed your mind, we may reduce your refund (excluding delivery costs) to reflect any reduction in the value of the products caused by handling beyond what is necessary to establish their nature, characteristics, and functioning (for example, handling beyond what would reasonably be permitted in a shop).


If we issue a refund before inspecting the returned products and later determine that such handling has occurred, you must reimburse us for the loss in value. Refunds will be made using the same payment method you used for the original transaction, unless you expressly agree otherwise. We will process your refund as soon as possible and, in any event, no later than (i) 14 days after the day we receive the returned products; or (ii) if earlier, 14 days after the day you provide evidence that you have sent the products back to us.


Our Rights to Cancel your Order


We may cancel your order (or portion of an order) at any time by writing to you if:

  • you do not make any payment to us when it is due and you still do not make payment within 30 days of us reminding you that payment is due;
  • you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products, for example, your correct address; or
  • you do not, within a reasonable time, allow us to deliver the products to you.

If we cancel your order (or portion of an order) in the situations set out above, we will refund any money you have paid in advance for products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.


Prior to shipment of any order (or portion of an order), we also have the right to decline an order (or any portion of an order) for any reason, including legal and regulatory reasons. In addition, we also have the right to cancel or decline your order as set forth in the “Personal/Non-Commercial Use Only” section.


Our Responsibility for Loss or Damage Suffered by You


We are responsible to you for foreseeable loss and damage caused by us. If we breach these Purchase Terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time the contract was made, it was either clear that such loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).


We do not exclude in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products, including the right to receive products which are: as described and match information we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; and supplied with reasonable skill and care, and for defective products under the Consumer Protection Act 1987.


We are not liable for business losses. We only supply the products via the UK online store for private/non-commercial use. If you use the products for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.


Personal/Non-Commercial Use Only


Our products (including any samples we may provide to you) are for personal, non-commercial use only. Buying products on our UK online store to commercially resell is not allowed. If we believe an order is intended for resale or suspect that you are engaging in commercial reseller activity, we may cancel or limit your orders or withhold refunds.


Governing Law and Dispute Resolution


These Purchase Terms are governed by the laws of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of laws rules. You will benefit from any mandatory provisions of UK law, and you may bring proceedings in the courts of the part of the United Kingdom in which you reside.


We encourage you to contact us first so that we can try to resolve any issue directly. If we cannot resolve a dispute with you directly, you may nonetheless be entitled to pursue alternative dispute resolution. We are not, however, obliged to and do not commit to using an alternative dispute resolution provider, unless required by applicable law. Information about alternative dispute resolution providers may be available from applicable UK consumer protection authorities or other official UK consumer resources.

Nothing in these Purchase Terms limits or excludes your statutory rights under applicable EU consumer protection laws or the consumer protection laws of the EU Member State in which you reside, including your rights in relation to faulty, damaged, misdescribed, or non-conforming products.

Risk of Loss/Ownership


Risk of loss of or damage to the products in your order passes to you when you, or someone you designate other than the carrier, physically receive the products. If you choose to use your own carrier that we did not offer, risk of loss passes to you when we deliver the products to that carrier. Ownership of the products passes in accordance with applicable law.


Your Rights to Cancel/Withdraw Your Order


Right of Withdrawal


You have the right to withdraw from this contract within 14 days without giving any reason.


The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the last good.


To exercise the right of withdrawal, you must inform us of your decision to withdraw from the contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the attached model withdrawal form, but it is not obligatory. You can also electronically fill in and submit the model withdrawal form or any other unequivocal statement on our website (using the following format: [country code].elfcosmetics.com/contact-us (for example, de.elfcosmetics.com/contact-us)). If you use this option, we will communicate to you an acknowledgement of receipt of such a withdrawal on a durable medium (e.g. by e-mail) without delay.


To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.


Effects of Withdrawal


If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.


You must send back the goods to us at the address below:

You have no right of withdrawal for contracts regarding the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.

Our Rights to Cancel Your Order


We may cancel your order (or portion of an order) at any time by writing to you if:

  • you do not make any payment to us when it is due and you still do not make payment within 30 days of us reminding you that payment is due;

Our Responsibility for Loss or Damage Suffered by You


We are responsible for losses caused by our breach of a material contractual obligation. A material contractual obligation is an obligation that is essential to the proper performance of the contract and on which you may reasonably rely, such as timely delivery of the products or delivery of products that are free from defects.


If we breach a material contractual obligation, our liability is limited to losses that were foreseeable at the time the contract was formed and that are typical for this type of contract. We are not liable for losses caused by a breach of non-material contractual obligations.


These limitations do not apply to liability arising from:

  • intent or gross negligence;
  • injury to life, body, or health caused by our culpable breach of duty;
  • defects that we fraudulently concealed;
  • defects covered by a quality or durability guarantee, if we provided such a guarantee for the products; or
  • claims under Directive (EU) 2024/2853 on liability for defective products, as implemented in your country of residence, or any other mandatory product liability laws.

The limitations of liability in this section also apply for the benefit of our legal representatives, employees, agents, service providers, and other persons acting on our behalf.


Governing Law and Dispute Resolution


These Purchase Terms are governed by the laws of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of laws rules. The courts of London, United Kingdom will have non-exclusive jurisdiction over disputes relating to these Purchase Terms. You will also benefit from any mandatory consumer protection laws of the EU Member State in which you reside, and nothing in these Purchase Terms limits your right to bring proceedings in the courts of that Member State to the extent permitted by applicable law.


We encourage you to contact us first so that we can try to resolve any issue directly. You may nonetheless be entitled to pursue alternative dispute resolution or other consumer remedies under the laws of the EU Member State in which you reside. We are not, however, obliged to and do not commit to using an alternative dispute resolution provider, unless required by applicable law. Information about alternative dispute resolution providers may be available from applicable consumer protection authorities or other official consumer resources in your country of residence.
